These Subscription & Billing Terms govern your purchase and use of Shoptimal paid subscription plans. These terms are part of and incorporated into our [Terms of Service](/legal/terms-of-service).

## 1. Subscription Plans
### 1.1 Available Plans
Shoptimal offers the following subscription plans:

### 1.2 AI Runs
“AI Runs” refers to uses of Shoptimal’s AI-powered features, including but not limited to:
– Product optimization requests
– Blog content generation
– Social media post generation
– Email content generation
– Image alt text generation
Each AI run is counted regardless of whether you use the generated content.
### 1.3 Run Limits and Resets
– AI runs reset at the beginning of each billing cycle
– Unused runs do not roll over to the next period
– When you reach your run limit, AI features are unavailable until your next billing cycle
– Additional runs cannot be purchased separately
### 1.4 Plan Changes
You may change your subscription plan at any time:
– **Upgrades** take effect immediately
– Upgraded features are available immediately
– You will be charged a prorated amount for the remainder of the current billing cycle
– **Downgrades** take effect at the end of your current billing cycle
– You retain access to your current plan features until the downgrade takes effect
– Run limits adjust based on your new plan

## 2. Billing
### 2.1 Payment Terms
– Subscriptions are billed **monthly in advance**
– Payment is due at the start of each billing cycle
– All prices are in **US Dollars (USD)**
– Prices are exclusive of applicable taxes
### 2.2 Payment Methods
We accept payment via:
– Credit cards (Visa, Mastercard, American Express, Discover)
– Debit cards
– Other methods as displayed at checkout
All payments are processed securely through Stripe. We do not store your full credit card number.
### 2.3 Billing Cycle
– Your billing cycle begins on the date of your first paid subscription
– Subsequent charges occur on the same date each month
– If your billing date falls on a day that doesn’t exist in a given month (e.g., the 31st), you will be billed on the last day of that month
### 2.4 Taxes
– Prices displayed are exclusive of taxes unless otherwise stated
– You are responsible for all applicable taxes
– Taxes are calculated based on your billing address
– Tax rates are determined by applicable law and may change
### 2.5 Currency
– All transactions are processed in US Dollars
– If your payment method uses a different currency, your bank may apply currency conversion fees
– We are not responsible for currency conversion rates or fees

## 3. Automatic Renewal
### 3.1 Subscription Renewal
**Your subscription will automatically renew at the end of each billing period** unless you cancel before the renewal date.
By subscribing, you authorize us to charge your payment method automatically for each renewal period.
### 3.2 Renewal Notice
We will attempt to notify you before each renewal via:
– Email to your registered email address
– In-app notifications
However, **failure to receive a notice does not affect automatic renewal**. It is your responsibility to manage your subscription.
### 3.3 Failed Payments
If a payment fails:
1. We will attempt to process payment again over the following days
2. We will notify you of the failed payment
3. You may update your payment method at any time
4. After multiple failed attempts, your subscription may be suspended or canceled
5. Access to paid features will be restricted until payment is resolved

## 4. Cancellation
### 4.1 How to Cancel
You may cancel your subscription at any time through:
– Your account settings in the Shoptimal dashboard
– Contacting support at support@shoptimal.io
### 4.2 Cancellation Effect
When you cancel:
– Your subscription remains active until the end of your current billing cycle
– You retain access to paid features until the billing cycle ends
– After the billing cycle ends, your account reverts to the Free plan
– No further charges will be made unless you resubscribe
### 4.3 Data After Cancellation
After cancellation:
– Your account remains active on the Free plan
– Your data, drafts, and settings are retained
– Features requiring a paid plan become inaccessible
– You may resubscribe at any time to restore access
### 4.4 Account Deletion
If you wish to delete your account entirely (not just cancel your subscription), you may request account deletion through account settings or by contacting support. Account deletion is subject to our data retention policies.

## 5. Refund Policy
### 5.1 General Policy
**All subscription fees are non-refundable** except as required by law or as expressly stated in this section.
### 5.2 Limited Refund Window
We offer a **7-day satisfaction guarantee** for first-time subscribers:
– If you are not satisfied with your first paid subscription
– You may request a full refund within 7 days of your initial subscription purchase
– This applies only to your first ever subscription with Shoptimal
– Refund requests must be submitted to support@shoptimal.io
### 5.3 Refund Exclusions
Refunds are NOT available for:
– Renewals (including automatic renewals)
– Subscriptions active for more than 7 days
– Users who have previously received a refund
– Accounts terminated for Terms of Service violations
– Partial months or unused portions of subscriptions
– Plan downgrades
### 5.4 Processing Refunds
Approved refunds:
– Will be processed within 5-10 business days
– Will be credited to the original payment method
– Your subscription will be immediately canceled
– Access to paid features will be revoked
### 5.5 Disputes
If you dispute a charge with your bank or credit card company:
– We reserve the right to suspend your account pending resolution
– Fraudulent disputes may result in account termination
– You may be liable for chargeback fees if the dispute is resolved in our favor

## 6. Price Changes
### 6.1 Our Right to Change Prices
We reserve the right to change subscription prices at any time.
### 6.2 Notice of Price Changes
For existing subscribers:
– We will provide at least **30 days’ advance notice** of price increases
– Notice will be sent to your registered email address
– The new price will apply to your next billing cycle after the notice period
### 6.3 Your Options
If we increase prices:
– You may cancel before the new price takes effect
– Continuing your subscription after a price increase constitutes acceptance
– Downgrades or cancellations must be completed before the new billing cycle begins

## 7. Free Plan
### 7.1 Free Plan Terms
The Free plan:
– Provides limited access to Shoptimal features
– Includes 3 AI runs per month
– Runs reset on the 1st of each month (UTC)
– May be subject to usage limitations
– Is provided without charge and without warranty
### 7.2 Free Plan Availability
We reserve the right to:
– Modify Free plan features at any time
– Limit Free plan availability
– Convert Free accounts to paid-only
– Suspend or terminate Free accounts for inactivity
### 7.3 No Obligations
The Free plan does not create any obligation for us to:
– Continue providing free services
– Maintain feature parity with previous versions
– Provide support (though we may at our discretion)

## 8. Trials and Promotions
### 8.1 Free Trials
If we offer free trials:
– Trial duration and terms will be specified at signup
– Payment information may be required to start a trial
– Your subscription will automatically convert to a paid subscription at the end of the trial unless you cancel
– Trial features may differ from full subscription features
### 8.2 Promotional Offers
Promotional pricing:
– Is subject to specific terms disclosed at the time of the offer
– May be available for a limited time only
– May apply only to new subscribers
– Cannot be combined with other offers unless stated
– Will revert to regular pricing after the promotional period
### 8.3 Coupons and Discounts
Coupon codes:
– Are subject to any restrictions specified with the code
– May be one-time use only
– May have expiration dates
– Cannot be applied retroactively
– Cannot be redeemed for cash

## 9. Payment Processor
### 9.1 Stripe
All payments are processed by Stripe, Inc. (“Stripe”). By making a purchase, you also agree to Stripe’s terms of service and privacy policy.
### 9.2 Payment Information
– Your payment information is collected and processed by Stripe
– We do not have access to your full credit card number
– Stripe’s security practices are subject to Stripe’s policies
– For payment-related issues, we work with Stripe to resolve them

## 10. Service Credits
### 10.1 When Credits May Apply
In rare circumstances, we may offer service credits for:
– Extended, unscheduled downtime affecting paid features
– Billing errors on our part
– Other situations at our sole discretion
### 10.2 Credit Limitations
Service credits:
– Must be requested within 30 days of the incident
– Are applied to future billing cycles only
– Cannot be redeemed for cash
– Do not accumulate beyond one billing cycle
– Are the sole and exclusive remedy for downtime

## 11. Shopify Connection
### 11.1 Shopify Integration
Shoptimal integrates with Shopify stores. Your subscription to Shoptimal is separate from your Shopify subscription.
### 11.2 Store Connection
– You may connect one Shopify store per Shoptimal account (on standard plans)
– Disconnecting your Shopify store does not cancel your Shoptimal subscription
– Some features require an active Shopify connection
– You are responsible for your Shopify subscription and fees separately

## 12. Enterprise and Custom Plans
### 12.1 Availability
Enterprise or custom plans may be available for:
– High-volume users
– Agency or multi-store needs
– Custom feature requirements
### 12.2 Custom Terms
Enterprise plans may have:
– Different pricing structures
– Annual billing requirements
– Custom terms and conditions
– Separate agreements

## 13. Changes to These Terms
We may modify these Subscription & Billing Terms at any time. Changes affecting existing subscriptions will be communicated with appropriate notice as described in this document.
Continued use of paid services after changes take effect constitutes acceptance of the modified terms.
